1. Terms and Conditions - NoOnes Partner Program

The following Terms and Conditions, together with any amendments or restatements hereof (the “Terms and Conditions”), govern participation in the NoOnes Partner Program (the “Program”), as offered by NoOnes, including all of its affiliates and Partner Program members (collectively, “NoOnes,” “we,” “us,” or “our”), to you as an individual participant (hereinafter, “you” or “user”).

NoOnes reserves the right, in its sole and absolute discretion and without prior notice, to:

• (a) amend, modify, or replace any or all provisions of these Terms and Conditions at any time, including but not limited to changes in commission payout percentages or Program structure;
• (b) suspend or terminate the Partner Program in whole or in part; and/or
• (c) suspend or permanently deactivate your participation in the Partner Program and/or your NoOnes account in the event of any conduct deemed to violate these Terms and Conditions, the Prohibited Actions section herein, or the NoOnes Terms of Service.

By agreeing to participate in the Partner Program, you acknowledge and accept these Terms and Conditions and agree to comply with the NoOnes Terms of Service.

The information you provide to NoOnes during registration and participation in the Partner Program will be collected, stored, and processed in accordance with the European Union General Data Protection Regulation (“GDPR”). You have accepted NoOnes’ GDPR-compliant Privacy Policy as part of the Partner Program registration process.

For the avoidance of doubt, certain account information, such as location details, referral activity, and engagement metrics, may be displayed to your referring Program Member and within Program dashboards or leaderboards for performance tracking and transparency purposes.

2. Partner Program Participation and Structure

To participate in the NoOnes Partner Program (“Program”), a user must have a registered account on NoOnes.com and follow the on-screen instructions to refer friends, colleagues, or other users to the Program.

The Partner Program is structured as a four-level model, which includes a third-party relationship between Program Members and their Partners. The structure and participants of the Program are defined as follows:

• Program Member (or Program Participant) — Any registered NoOnes user who has referred at least one Partner (as defined below) using their unique referral link or invite code provided through the NoOnes platform.
• There are four levels of Program Members: Starter, Peer, Champion, and Ambassador.
• Tier 1 Partner — A third party who registers to use the NoOnes Marketplace through the unique registration link or invite code provided by a Program Member. This individual becomes the Program Member’s direct Tier 1 Partner.
• Tier 2 Partner — A third party who registers to use the NoOnes Marketplace through the unique registration link or invite code provided by a Tier 1 Partner. This individual becomes the Program Member’s indirect Tier 2 Partner.

The NoOnes Partner Program enables eligible users to actively engage with and promote the NoOnes ecosystem by referring new users, educating communities, and supporting growth initiatives in alignment with NoOnes’ brand values and ethical standards.

The Program is designed to recognize and reward trusted community memberswho contribute to the platform’s growth and adoption in a responsible, transparent, and compliant manner.

Further operational and performance details of the Program, including eligibility criteria, milestones, and activity guidelines, are outlined in the official Partner Program Knowledge Base and may be updated by NoOnes from time to time.

3. Terms and Benefits

Program Member’s responsibilities:

Each Program Member agrees to:

1. Recruitment: Actively invite and onboard new Partners to the NoOnes platform with the genuine intent to encourage trading activity on the platform.
2. Use of Program Tools: Use the unique referral link, invite code, and QR code provided through the Partner Program Dashboard responsibly and solely for personal, lawful, and non-commercial purposes.
3. Promotion and Education: Utilize personal social media channels, blogs, or other communication platforms to promote NoOnes, educate audiences about the NoOnes Marketplace, cryptocurrency trading, and the Partner Program.
4. Truthful Representation: Promote NoOnes and its services truthfully, accurately, and in good faith.
5. Brand Integrity: Represent the NoOnes brand in accordance with the official guidelines and instructions provided by NoOnes.
6. Ethical Conduct: Refrain from engaging in misleading, deceptive, or unethical marketing or recruitment practices.
7. Compliance: Respect all applicable intellectual property, privacy, and data protection laws and regulations.
8. Disclosure: Clearly disclose their affiliation with NoOnes when representing or promoting the brand publicly.

Program Member’s benefits:

1. A Program Member earns a percentage of the trading fee as a Partner Program reward when their direct (Tier 1) Partner, or an indirect (Tier 2) Partner invited by a Tier 1 Partner, buys or sells any cryptocurrency (BTC, USDT, or USDC) on the NoOnes Marketplace. Effective October 6, 2025, such rewards are paid on a lifetime basis, provided that the Multi-Level Partner Program remains active.
2. As part of the ongoing enhancement of the Partner Program, NoOnes has introduced a revised structure to ensure that rewards are distributed in a transparent and equitable manner. Under this structure, commissions for certain Program Members may cease if they pertain to Partners who joined prior to the current Program revision. These Partners will be identified with an “Expired” status in the My Partners tab of the Partner Program Dashboard.
3. This mechanism ensures that rewards are allocated to Program Members who actively expand and engage their Partner networks. All new Partners referred on or after October 6, 2025, will generate lifetime commissions for the corresponding Program Member, subject to continued compliance with these Terms and the Partner Program Rules.

4. Reward Payable

• Unless otherwise agreed by NoOnes, a Program Member shall earn a reward from NoOnes each time their direct Tier 1 Partner or indirect Tier 2 Partner completes a “Buy” or “Sell” transaction involving BTC, USDT, or USDC on the NoOnes Marketplace.
• NoOnes charges an escrow fee (“Escrow Fee”) in connection with each trade completed on the platform. The Escrow Fee may be modified by NoOnes at any time and from time to time at its sole discretion.
• When a Tier 1 (direct) or Tier 2 (indirect) Partner successfully completes a BTC, USDT, or USDC “Buy” or “Sell” transaction on the NoOnes Marketplace, the Program Member earns a reward. Such reward shall be paid in BTC, USDT, or USDC and credited to the Program Member’s Partner Program balance. Program Members may view their applicable commission rates and accrued rewards at any time through the Partner Program Dashboard.

Program Members shall not be eligible to earn any reward for trades conducted directly with their own Tier 1 or Tier 2 Partners on the NoOnes Marketplace.

However, if a Tier 1 or Tier 2 Partner of a Program Member engages in a trade with a Partner of another Program Member, the applicable referral reward shall be divided equally between both Program Members, with each receiving fifty percent (50%) of the total reward.

All eligible rewards shall be credited to the Program Member’s Reward Balance promptly following the successful completion of the qualifying transaction.

1 NoOnes may change or cancel the amount above at any time and for any reason in its sole and absolute discretion.

5. Withdrawing a Reward

Whenever the Reward Balance of a Program Member in any supported cryptocurrency reaches an equivalent value of at least 5 USD (in then-current BTC, USDC, or USDT value, as applicable), the Program Member may initiate a transfer of the full available balance to their NoOnes Wallet by using the “Claim” button in the Partner Dashboard.

The ability to withdraw rewards may be subject to NoOnes’ applicable transaction volume limits, as outlined in the NoOnes Terms of Service. NoOnes may require identity and/or address verification before processing withdrawals. By providing any information requested by NoOnes, the Program Member represents and warrants that all such information is true, accurate, and not misleading, and agrees to promptly update NoOnes if any changes occur.

NoOnes is authorized to conduct any inquiries it deems necessary, directly or through authorized third parties, to verify the Program Member’s identity or to prevent fraud, money laundering, or other financial crimes. In connection with such verification, personal data may be disclosed to credit reference, fraud prevention, or financial crime agencies, which may provide NoOnes with relevant responses to such inquiries. Additional information regarding the collection and processing of personal data is available in the NoOnes Privacy Notice.

6. Rewards Validity

Rewards credited to the Program Member’s Reward Balance shall not expire, provided that the Program Member’s NoOnes account remains active and in good standing. The Program Member may withdraw available rewards at any time once the minimum withdrawal threshold has been met, in accordance with these Terms and Conditions and the NoOnes Terms of Service.

7. Prohibited Actions

The following is a representative (but not exhaustive) list of conduct and practices (“Prohibited Actions”) that may cause NoOnes, in its sole and absolute discretion, to (a) cancel or reclaim payment of any then-earned rewards (whether withdrawn or not), and/or (b) suspend or permanently deactivate the Program Member’s NoOnes and Partner Program accounts and/or associated wallets.

Prohibited Actions include, without limitation:

1. Using spam or unsolicited communications to attract potential users to the NoOnes platform.
2. Engaging in illegal activities of any kind, whether or not related to participation in the NoOnes Partner Program or use of the NoOnes platform.
3. Undertaking any deceptive, manipulative, or fraudulent methods to artificially increase rewards.
4. Creating or using fake web pages, profiles, or social media accounts; participating in fraudulent schemes; or engaging in other prohibited or unlawful activities.
5. Creating multiple accounts on the NoOnes platform that benefit from or interact with the Partner Program in any way. For the avoidance of doubt, each Program Member may maintain only one account and shall not sell, transfer, lend, share, or otherwise make available their account or any credentials necessary to access it to any third party.
6. Providing false, misleading, or fraudulent information, including falsification of country of origin or submission of counterfeit identification or address documents.
7. Breaching or violating, whether directly or through representatives, any obligations under these Terms and Conditions.
8. Using, in any form of advertising, publication, or media content originated or disseminated by the Program Member, the words “No1s,” “NoOnes,” or any other words, marks, or designations that NoOnes deems confusingly similar to its trademarks, without express written authorization.
9. Using the NoOnes brand or trademarks in connection with:
• (a) content that disparages, damages, or undermines NoOnes or its partners;
• (b) offensive, abusive, intimidating, or harassing content; or
• (c) content that violates applicable laws or infringes upon the rights of others.
10. Disparaging, defaming, or making false or misleading statements about:
• (a) NoOnes, its directors, officers, employees, contractors, agents, or representatives; or
• (b) other users of the NoOnes platform, including Partners and other Program Members.
11. Engaging in any activity that NoOnes reasonably believes could subject it to legal, regulatory, or prosecutorial scrutiny under any applicable laws or regulations, including, without limitation, illegal gambling, fraud, money laundering, or terrorist financing.
12. Providing false, inaccurate, or misleading information during the verification or compliance process.
13. Encouraging, instructing, or assisting any third party to engage in any of the Prohibited Actions described herein.
14. Registering new Partners using the Program Member’s own devices. For the avoidance of doubt, each Partner must create and access their NoOnes account using their own personal device.

8. Intellectual Property Rights

Unless otherwise expressly indicated by NoOnes, all intellectual property rights in and to the NoOnes.com website and any associated websites, application programming interfaces (APIs), mobile applications, and URLs operated by NoOnes (collectively, the “Website”), as well as any content, materials, data, or information provided in connection with NoOnes’ services, are the exclusive property of NoOnes, its licensors, or its suppliers. Such rights are protected by applicable intellectual property and proprietary rights laws.

No license, right, or interest is granted to any third party by implication, estoppel, or otherwise for the use of any content or materials contained on or accessible through the Website, except for the limited right to use official marketing materials expressly provided or pre-approved by NoOnes for purposes consistent with participation in the Partner Program.

The use, reproduction, modification, distribution, transmission, display, or performance of any content, materials, or collateral not provided or pre-approved by NoOnes is strictly prohibited. Program Members and third parties shall not copy, reproduce, or otherwise exploit any part of the Website or its content without NoOnes’ prior written consent.

All rights not expressly granted under these Terms and Conditions are hereby reserved in full by NoOnes and its licensors.

9. No Warranty, Limitation of Liability, and Disclaimer

The Partner Program and the Website are provided by NoOnes on an “as is” and “as available” basis, for informational and operational purposes only, without any representation, warranty, or endorsement of any kind, whether express or implied.

To the maximum extent permitted by applicable law, NoOnes makes no warranties or representations, express or implied, regarding the Partner Program or the Website, including but not limited to implied warranties of merchantability, satisfactory quality, functionality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, availability, or completeness, nor any implied warranties arising from a course of dealing, usage, or trade practice.

To the fullest extent permitted by applicable law, NoOnes, its affiliates, directors, officers, employees, agents, contractors, licensors, and service providers shall not be liable to any third party for any of the following:

• Any economic or financial losses, including without limitation, loss of revenue, profit, business, contracts, anticipated savings, or data;
• Any loss of goodwill, reputation, or business opportunity;
• Any indirect, incidental, special, punitive, or consequential loss or damage, however arising and regardless of whether such loss was foreseeable or whether NoOnes was advised of the possibility of such damages.

10. Modification, Suspension, Disqualification, and Termination

NoOnes reserves the right, in its sole and absolute discretion and without prior notice, to amend or update:

1. These Terms and Conditions of the Partner Program, including but not limited to benefits, requirements, and participant responsibilities, at any time as deemed necessary by NoOnes; and
2. Any provisions of these Terms and Conditions of the Partner Program retroactively, as deemed necessary by NoOnes in its sole and absolute discretion.

NoOnes further reserves the right to revoke, suspend, or permanently terminate any Program Member’s participation in the Partner Program under any circumstances that, in NoOnes’ sole and absolute discretion, warrant such action, including but not limited to the following (non-exhaustive list):

• Any pattern of abuse or misuse of the Partner Program;
• Failure by the Program Member to fulfill the responsibilities required under the Partner Program, including but not limited to promoting the NoOnes Partner Program and other NoOnes products or services, as applicable;
• Misuse or abuse of social media accounts, or any unauthorized use of publicly available information or assets for promotional or related purposes;
• Misrepresentation or wrongful depiction of the NoOnes brand in any way or form;
• Failure to comply with the obligations and responsibilities set forth in these Terms and Conditions;
• Breach of confidentiality obligations. For the avoidance of doubt, any documentation, correspondence, product insights, or other sensitive information shared with a Program Member by NoOnes or any other participant in the Partner Program shall be treated as confidential and may not be disclosed, published, or shared with any third party without NoOnes’ prior written consent;
• Any violation of the NoOnes Terms of Service.

NoOnes shall not be liable for any direct or indirect losses resulting from the amendment, suspension, or termination of a Program Member’s participation in the Partner Program.

11. Indemnity and Release

The Program Member agrees to hold harmless and release NoOnes (and each of its officers, directors, members, employees, agents, and representatives) from any claim, demand, action, damage, loss, cost, or expense, including without limitation reasonable legal fees, arising out of or relating to the Program Member’s participation in, or conduct in connection with, the Partner Program; or any violation of these Terms and Conditions.

In addition, the Program Member agrees to be fully responsible for (and fully indemnify NoOnes against) all claims, liabilities, damages, losses, costs, and expenses, including legal fees, suffered or incurred by NoOnes arising out of or related to any breach of these Terms and Conditions by the Program Member, or any other liabilities incurred by NoOnes arising out of the Program Member’s use of the services and the Partner Program, or use by any other person accessing the services using the Program Member’s account, device, or internet access account; or any violation of any law or rights of any third party.

12. General Guidelines

The following general guidelines must be followed by every Program Member of the NoOnes Partner Program:

• Be honest and truthful. All statements made by the Program Member must reflect their honest and truthful opinions and actual experiences. If a statement does not represent the Program Member’s own opinion but is made at the request of NoOnes, this fact must be clearly disclosed to the audience.
• Only make factual statements that are truthful and can be verified. The Program Member may only make factual statements about NoOnes or NoOnes’ products and/or services that are accurate and verifiable. For example, statements regarding the performance, functionality, or quality of a service or product may not be made unless the Program Member has sufficient factual support for such claims. These guidelines apply equally to both express and implied statements.
• Disclose the connection to NoOnes. When discussing NoOnes’ products or services, the Program Member must clearly disclose their “material connection” with NoOnes (i.e., the fact that they are a participant in the NoOnes Partner Program). This disclosure must be made in close proximity to any statements regarding NoOnes or its products or services and must be clear and prominent enough for the audience to easily recognize it.
• Respect intellectual property rights. Intellectual property includes legal rights to works created or invented by others, such as copyrights, trademarks, and trade secrets, as well as rights of publicity (including names, likenesses, and voices). Examples include photographs, videos, music, logos, brand names, personal likenesses (including celebrity likenesses), quotes, and writings. The Program Member must not use any such materials without obtaining prior written permission from the third party holding the rights, as doing so would constitute a violation or infringement of intellectual property rights.
• Comply with other policies and laws. The Program Member must comply with the terms, conditions, guidelines, and policies of any service or platform used, as well as all applicable laws and regulations. For example, if a service prohibits commercial use, the Program Member may not promote NoOnes or NoOnes’ products or services on such a platform.

NoOnes may update or amend these Partner Program Terms and Conditions at any time and for any reason, without prior notice. Such updates may alter the value or eligibility of participation in the Partner Program. Continued participation in the Program following any amendments constitutes the Program Member’s binding acceptance of those changes.

NoOnes reserves the right to investigate Program Members, as well as their Partners’ accounts, at any time.

13. Nature of the Terms and Conditions

These Terms and Conditions constitute the entire agreement between the Program Member and NoOnes with respect to the subject matter contained herein and supersede and replace any prior understandings, agreements, or communications between the Program Member and NoOnes regarding such subject matter. The Program Member may not assign or transfer any of their rights or obligations under these Terms and Conditions without the prior written consent of NoOnes.
